CEO of Restricted Stock Systems Named Entrepreneur of the Year for Emerging Growth at Ernst & Young's New Jersey Awards
-Greg Besner to represent New Jersey at National Competition-

PRINCETON, N.J., June 25, 2003 -- Greg Besner, CEO of Princeton-based Restricted Stock Systems (RSS), was named Entrepreneur of the Year for Emerging Growth Companies at the Ernst & Young New Jersey's 16th annual Entrepreneur of the Year (EOY) dinner last Thursday (June 19) in Teaneck, New Jersey. Mr. Besner was chosen from a field of 31 New Jersey finalists by a panel of independent judges, comprised of leaders from New Jersey business and civic organizations. The field included companies in industries as diverse as pharmaceuticals, telecommunications, real estate, retail organizations and financial services.

Mr. Besner was chosen as the Entrepreneur of the Year for Emerging Growth Companies based on several different criteria, including leadership, originality, his record of giving back to the community and the degree of difficulty involved with the challenges he has faced as an entrepreneur.  He was honored for his ingenuity, hard work and perseverance that have allowed him to create and sustain a successful, growing business venture.

"On behalf of the entire team at RSS, we're honored to have been chosen for this award for entrepreneurial leadership," said Besner. "The work we're doing and the systems we've been developing are resulting in a better way to manage complex restricted stock procedures, and we're very grateful to be recognized for that."

Mr. Besner's company, Restricted Stock Systems (RSS), provides solutions for reporting corporate insider transactions of restricted and control stock to both corporations and brokerage houses. RSS automates a complicated process that was once done by hand and in doing so saves its clients resources and time. Mr. Besner, who previously worked for Merrill Lynch, founded the company along with his partner upon realization that there must be an easier way to handle restricted stock transactions than the cumbersome manual process. The company has sustained consistent growth since its inception in February 2000 and already counts among its clients some of the world's leading financial services firms.  RSS recently partnered with NASDAQ as part of the NASDAQ Corporate Services Network to provide NASDAQ listed companies with a reliable solution for dealing with strict new federal insider disclosure requirements.

As a leading recognition program for entrepreneurial business owners, Ernst & Young's Entrepreneur of the Year program helps feature New Jersey as a prime state in which to establish and grow a business. Finalists are nominated within their professional communities by clients, prospective clients, and business associates; insuring that the local communities have a significant say in who goes on to represent New Jersey on the national level.

Having won a New Jersey award, Mr. Besner is automatically nominated for, and will represent New Jersey at, the National Entrepreneur of the Year Awards. The national ceremony will take place at J.W. Marriott's Desert Springs Resort & Spa in Palm Springs, CA on November 20-23, 2003.

Past national award winners include Michael Dell of Dell Computer Corporation, John Bello of Sobe Beverages, Howard Schultz of Starbucks Coffee and Richard M. Schulze of Best Buy.
